Terms and Conditions
Welcome to PocketWMS. These terms and conditions apply to the use of our warehouse management system. By using PocketWMS, you agree to these terms.

Definitions
Service: the PocketWMS warehouse management system, including all associated functionalities, integrations and support.
Customer: the organization (head tenant) that has entered into an agreement with Devimo for the use of PocketWMS.
User: any person who uses PocketWMS on behalf of the Customer or a Subtenant.
Runtime: the dedicated technical environment in which PocketWMS is operated for a Customer.
Owner: a subtenant or party whose stock and orders are managed through PocketWMS on behalf of the Customer.
Use of the Service
Access and Accounts
The Customer is responsible for managing user accounts and access rights. Users must keep their login credentials confidential. The Customer is responsible for all activities that take place through their accounts.
Permitted Use
PocketWMS may only be used for lawful purposes and in accordance with these terms. It is not permitted to use the Service in a way that could damage, disable or impair the Service or interfere with other parties' use.
Responsibility for Data
The Customer is responsible for the accuracy and lawfulness of the data entered into PocketWMS. Devimo is not liable for errors in or loss of data that result from incorrect use or actions by the Customer or Users.
Dedicated Runtime
Each Customer receives a dedicated Runtime. The Customer may not attempt to gain access to other Customers' environments or data. Devimo monitors the health and security of all Runtimes via a central control plane.
Intellectual Property
All intellectual property rights to PocketWMS, including software, documentation, designs and brand names, belong to Devimo or its licensors.
The Customer receives a non-exclusive, non-transferable right to use PocketWMS for the duration of the agreement. This right does not include the right to copy, modify, distribute or create derivative works.
Feedback and suggestions from the Customer may be used by Devimo without obligation or compensation.
Liability
Availability
Devimo strives for high availability of PocketWMS. We aim for an uptime of 99.5% per month, excluding scheduled maintenance. Devimo is not liable for damage resulting from temporary unavailability.
Limitation of Liability
Devimo's total liability for damage is limited to the amount paid by the Customer in the 12 months preceding the event that caused the damage, with a maximum of €25,000 per event.
Indirect Damage
Devimo is never liable for indirect damage, including loss of profit, loss of data, business interruption or damage to reputation, unless there is intent or gross negligence on the part of Devimo.
Data and Back-ups
Devimo makes regular back-ups of Customer data. The Customer remains responsible for maintaining their own additional back-ups of critical business data.
Termination
The agreement can be terminated by both parties with a notice period of one month at the end of a calendar month.
Upon termination, the Customer has 30 days to export their data from PocketWMS. After this period, Devimo may delete the data.
Devimo may immediately suspend access to PocketWMS if the Customer violates these terms or poses a threat to the security or stability of the Service.
Upon termination, the Customer must immediately cease all use of PocketWMS and delete all copies of documentation and software in their possession.
Changes to the Terms
Devimo may change these terms. Customers will be notified of significant changes at least 30 days in advance via email or through the PocketWMS environment.
If the Customer does not agree with the changes, they may terminate the agreement with effect from the date the changes take effect.
Applicable Law
Dutch law applies to these terms and all agreements between Devimo and the Customer.
Disputes will be submitted exclusively to the competent court in Amsterdam, unless mandatory legal provisions prescribe otherwise.
